Finance Director - M&A (Hybrid)

Job Description:

Transaction Execution and Deal Delivery:

  • Own the delivery and quality of all financial analysis across live transactions.
  • Lead preparation of detailed financial models including integrated three-way models, working capital, net debt, and scenario analysis.
  • Prepare and review valuation analyses and valuation reports.
  • Support preparation of information memorandums, investment memorandums, and business summaries.
  • Manage preparation of financial inputs for SPAs including working capital, net debt and completion mechanisms.
  • Provide commercial input and project management support during transaction documentation and completion.
  • Support Managing Directors on complex commercial and financial judgement areas.

Team Leadership and Management:

  • Manage and mentor a team of two to three financial analysts.
  • Review analyst work and provide clear, constructive feedback to ensure accuracy and consistency.
  • Allocate work across the analyst team and manage delivery timelines across multiple engagements.
  • Actively coach analysts to uplift modelling, valuation, and transaction skills.

Client Management and Stakeholder Engagement:

  • Act as a senior point of contact for clients on financial and analytical matters.
  • Lead and participate in client meetings alongside Managing Directors and M&A Directors.
  • Provide clear and practical financial insights to clients to support decision making.
  • Liaise with external advisors including legal, tax, accounting, and debt advisors.
  • Coordinate and manage due diligence processes in collaboration with internal teams and external stakeholders.

Business Development Support:

  • Support Managing Directors with business development initiatives and pitch preparation.
  • Prepare pitch decks and financial analyses for prospective clients.
  • Contribute to thought leadership, precedent analysis, and market research as required.

Due Diligence and Transaction Management:

  • Lead financial due diligence processes with support from the analyst team.
  • Review and analyse underlying financial information and identify key risks and value drivers.
  • Support bid processes including bidder Q&A and data room management.
  • Manage issues resolution and escalation to Managing Directors as required.
  • Support transaction completion including conditions precedent and closing processes.

Qualifications:

  • Bachelor's Degree in Accounting, Finance, or a related field.
  • 5+ years of experience in M&A, corporate finance, transaction services, or investment banking.
  • Strong hands-on financial modelling and valuation experience.
  • Experience working directly with senior stakeholders and external advisors.
  • Demonstrated experience managing and mentoring junior team members.
  • Proven ability to run multiple workstreams and manage competing priorities.
  • High attention to detail with the ability to maintain quality under tight deadlines.
  • Strong client facing communication skills and commercial judgement.

Nice-To-Haves:

  • Experience supporting mid-market transactions.
  • Exposure to both buy side and sell side transactions.
  • Background in boutique M&A advisory, corporate finance, or professional services.
