    Job Description

    Position Summary:

    • The principal focus of this position is to provide legal assistance covering corporate transactions and commercial banking regulations. The role will have the key responsibility for supporting business activities relating to debt financing, secured transactions, third-party servicer, and procurement agreements and related due diligence
    • Successful candidates must have the ability to coordinate complex projects and transactions that involve different business groups and products.
    • This position requires availability to work in a US timezone to start (3 weeks). Eventually we will align on a schedule that works for you.

    Position Responsibilities:

    • Assist as transaction counsel on equity and debt financing, secured transactions (including DACA's), and other matters, as needed.
    • Help review, draft and negotiate policies and procedures related to product offerings and bank regulations.
    • Manage outside counsel review of all documentation and oversee outside counsel with respect to transactions.
    • Coordinate and work with teammates cross functionally, including compliance and operations teams, and address their legal/compliance needs, ad-hoc.
    • Conduct legal research with respect to commercial lending and develop relevant policies and procedures.
    • Manage third-party vendors, conduct risk and due diligence assessments, and assist with reporting.
    • Assist with enforcement of BSA/AML policies and procedures conduct name screening checks, assist with KYC onboarding and ongoing monitoring and transactional monitoring.
    • Take initiative to identify and analyze problems, generate alternative solutions and make decisions with little direction/supervision.
    • Participate with Employee Engagement activities that would promote the welfare and positive atmosphere for the team.
    • An ability to 'speak up' and inform management of ways we can improve or make something better. Either internally or at the client level.
    • Ability to be flexible with working hours/shifts. Shift schedule may vary and rest days may eventually be assigned outside weekends depending on business needs.
    • An openness to performing Ad-hoc tasks may be assigned from time-to-time.
    • Existing access to internet services at home. You will be provided a company computer while you are on a temporary WFH Status.

    Qualifications:

    Personal Competencies:

    • At least 3-4 years of experience as a Paralegal at a law firm or in the legal department of a commercial lender, asset manager, investment bank or other similar financial organization.
    • Experience in transactions, specifically those that involve equity and debt financing.
    • Ability to manage outside counsel and internal stakeholders.
    • Strong organizational skills.
    • Ability to manage multiple time sensitive matters in a fast-paced and fluid environment.
    • Motivated team player with ability to work independently and strong leadership skills.
    • Ability to take initiative to anticipate and make decisions without much direction/supervision.
    • Excellent communication and written skills.
    • Willingness to learn and adapt to the processes given per task.
    • Ability to multitask, prioritize, and manage time effectively.
    • Demonstrated ability to work well under pressure.
    • A degree in Law or BS Legal Management

    Technical Qualifications

    • Must have experience using Microsoft Office Excel or Google Sheets.
    • Existing access to internet services at home. You will be provided a company computer and internet/power allowance while you are on WFH Status.
